Karol Kicun

Karol Kicun is the managing partner of Reon Legal. He is an expert in commercial and corporate law with more than 15 years of experience; he has advised clients, including private equity funds and founders of private companies, on complex M&A transactions and joint ventures, both on the sell-side and the buy-side. He has particular experience in the energy, eCommerce/FinTech and FMCG sectors.

Renata Patoka is a specialist in mergers and acquisitions (M&A) transactions at national, cross-border and multijurisdictional level, on which she has been advising for over than 20 years, gaining experience mainly in leading international law firms. She also specializes in corporate law and restructuring of capital groups. Renata supported clients from various sectors of the economy, including FMCG, manufacturing businesses, and numerous service industries.

She advises comprehensively on investments and divestitures at various stages of the processes and is experienced in coordinating international projects and teams.

She also has extensive experience in providing legal advice to insurance companies on evaluation of risks when providing warranty and indemnity coverage for M&A transactions.

Pawel Samolewicz has specialised for 17 years in advising both borrowers and lenders on bilateral and syndicated loan transactions (particularly under standard LMA documentation), as well as other forms of financing such as securitisations and security packages associated with such financings. He has gained his experience working with a wide range of domestic and international clients, including large multinational corporations and banks, as well as multilateral lenders. His experience also includes advising on local and cross-border acquisitions and joint ventures, particularly in the energy sector.

Dr Paweł Hoc has specialised for 9 years in advising international companies, banks and financial institutions on complex international financing projects. His experience also includes advising on the financial aspects of mergers and acquisitions and participating in international dispute resolution projects. Paweł is the author of a number of publications on diverse topics such as international law, market access rights, the split payment mechanism in the context of factoring transactions, or Brexit and the activities of the Financial Supervision Authority.

Maciej Gorgol has 10 years of experience in real estate transactions and mergers and acquisitions, with a particular focus on the renewable energy sector (photovoltaics and wind). He also focuses on day-to-day legal advice to companies and contract law. Maciej has extensive experience in advising developers in the field of renewable energy in the framework of mergers and acquisitions in the Polish real estate market, direct investment by foreign investors and asset protection of HNWI clients. As a former board member of a Polish charity, Maciej is also well versed in foundation law as well as regulatory aspects of charities.

Jerzy Kapitańczuk advises on Polish and European competition law and antitrust law. He prepares notifications of intent to concentrate entrepreneurs and represents clients in proceedings before the Office of Competition and Consumer Protection (UOKiK). He also advises Polish and international companies on mergers and acquisitions, including those involving private equity and venture capital funds. He participates in legal due diligence and the preparation of transaction documents. He also assesses agreements in terms of their compliance with competition law and the operation of various distribution systems, as well as the determination of relevant markets.

As a specialist in corporate law, Gustaw Steinke participates in advising clients in M&A and private equity transactions and corporate restructurings. He graduated from the University of Warsaw in 2021 and completed the American law course organised in cooperation with Emory University School of Law and Georgia State University College of Law. He also completed postgraduate studies in capital market law and economics at the Warsaw School of Economics. Prior to joining Reon Legal, he gained experience in the M&A and corporate departments of renowned Warsaw law firms.
